Terms & Conditions

The master terms governing the All Meats marketplace platform, website, and mobile applications.

PLEASE READ THESE TERMS CAREFULLY. THEY GOVERN ALL USE OF THE ALL MEATS PLATFORM BY CUSTOMERS, VENDORS, RESTAURANTS, SUPPLIERS, FARMERS, DELIVERY PARTNERS AND ALL OTHER USERS, IN KENYA AND IN ANY OTHER MARKET WHERE ALL MEATS OPERATES. BY REGISTERING, ORDERING, LISTING PRODUCTS, OR OTHERWISE USING THE PLATFORM, YOU AGREE TO BE BOUND BY THESE TERMS.

This document is part of the All Meats legal suite. It should be read together with the Privacy Policy, Vendor Agreement, Restaurant Partner Agreement, Supplier Agreement, Farmer Agreement, Delivery Partner Agreement, Cookie Policy, Acceptable Use Policy, and Marketplace Rules, each of which is incorporated by reference where applicable to your role on the Platform.

1. DEFINITIONS AND INTERPRETATION

"All Meats", "the Company", "we", "us", "our" means Alphaxerds Enterprises Limited, a company incorporated in the Republic of Kenya, trading as All Meats, together with its subsidiaries, affiliates, and successors.

"Platform" means the All Meats website (www.allmeats.co.ke), mobile applications, APIs, and any successor or related digital properties, in Kenya and in any other jurisdiction where All Meats operates.

"Vendor" means any Restaurant, Meat Shop, Supplier, Farmer, or other independent business listing Products for sale on the Platform.

"Delivery Partner" means any independent courier, rider, driver, or logistics company engaged (directly or through a third-party logistics provider) to fulfil deliveries arranged via the Platform.

"Customer" means any person who browses, registers, or purchases Products through the Platform.

"Products" means fresh meat, frozen meat, seafood, prepared meals, BBQ packs, catering items, and any other goods or services listed on the Platform.

"User" means any Customer, Vendor, Restaurant, Supplier, Farmer, or Delivery Partner, collectively.

"Order" means a request placed by a Customer to purchase Products via the Platform.

"Content" means text, images, listings, reviews, ratings, and other material appearing on the Platform.

"Affiliate" means any entity that controls, is controlled by, or is under common control with All Meats, including any future subsidiary established to operate in other countries.

2. ACCEPTANCE OF TERMS

2.1 Binding agreement. These Terms form a binding legal agreement between you and All Meats. Registering an account, placing an Order, listing a Product, accepting a delivery job, or otherwise using the Platform constitutes acceptance of these Terms in full.

2.2 Layered agreements. Where you act in a specific capacity (Vendor, Restaurant, Supplier, Farmer, Delivery Partner), you additionally accept the corresponding role-specific agreement, which supplements and, in the event of conflict on role-specific matters, prevails over these Terms.

2.3 Capacity. You confirm you are at least 18 years old and have full legal capacity to contract under Kenyan law, or, where a business, that the signatory is duly authorised to bind that business.

2.4 Amendments. All Meats may amend these Terms at any time by posting an updated version on the Platform and, for material changes, by additional notice (e.g. email, in-app notice). Continued use after the effective date of an amendment constitutes acceptance.

3. COMPANY INFORMATION

All Meats is a trading name of Alphaxerds Enterprises Limited, a company incorporated under the Companies Act, 2015 of Kenya, with its principal place of business in Nairobi, Kenya, and operating locations at Hydro Park and Kiambu.

These Terms apply to the Platform's operations in Kenya and, upon commencement of operations in any other jurisdiction, shall apply to such jurisdiction subject to any locally required addenda necessary to comply with local law. All Meats reserves the right to operate future markets through local Affiliates, in which case references to "All Meats" shall include the relevant local Affiliate operating the Platform in that market.

4. ELIGIBILITY

4.1 General. The Platform is available to persons and businesses lawfully permitted to transact in the jurisdiction from which they access it.

4.2 Age verification. Where a Product's sale is age-restricted under applicable law, All Meats and/or the relevant Vendor may require age verification before fulfilling the Order, and may refuse to deliver such Products where age cannot be verified.

4.3 Business users. Vendors, Restaurants, Suppliers, Farmers, and Delivery Partners must be validly registered businesses or, where sole traders, lawfully permitted to trade, and must provide such registration, tax, and licensing documentation as All Meats reasonably requires.

5. CUSTOMER ACCOUNTS

5.1 Customers must provide accurate registration information, keep login credentials confidential, and are responsible for all activity under their account.

5.2 All Meats may request additional verification (e.g. phone number confirmation) before processing high-value or first-time Orders as a fraud-prevention measure.

6. VENDOR, RESTAURANT, SUPPLIER, FARMER AND DELIVERY PARTNER ACCOUNTS

6.1 General onboarding

Each category of business partner below must complete onboarding, provide required documentation, and accept the applicable role-specific agreement before being permitted to transact on the Platform.

6.2 Vendors / Meat Shops

Must hold valid business registration, county trading licence, and applicable public health/meat inspection certification, and must keep such licences current for the duration of listing.

6.3 Restaurants

Must hold a valid food business permit and health certificate, and comply with menu accuracy, allergen disclosure, and preparation-standard requirements set out in the Restaurant Partner Agreement.

6.4 Suppliers

Entities supplying bulk or wholesale meat and related products to Vendors or to All Meats directly must comply with traceability, sourcing, and quality documentation requirements set out in the Supplier Agreement.

6.5 Farmers

Farmers supplying livestock or farm produce through the Platform (directly or via the farm-to-counter programme) must provide such herd health, movement permit, and veterinary documentation as required by Kenyan agricultural and veterinary law, as further detailed in the Farmer Agreement.

6.6 Delivery Partners

Delivery Partners must hold valid identification, a roadworthy and appropriately insured vehicle where applicable, and must comply with cold-chain handling instructions during transit, as further detailed in the Delivery Partner Agreement.

7. NATURE OF THE PLATFORM — MARKETPLACE ROLE

All Meats is a marketplace owned and operated by Alphaxerds Enterprises Limited. Unless expressly stated otherwise on a specific product listing or invoice, All Meats does not manufacture, process, own, inspect, package, or sell Products listed by independent Vendors, Restaurants, Suppliers, or Farmers. Responsibility for product quality, legality, safety, labelling, traceability, and regulatory compliance rests solely with the respective Vendor.

7.1 Facilitation only. All Meats provides the technology, payment facilitation, order routing, and (where applicable) logistics coordination that allow Vendors and Customers to transact. All Meats is not a party to the underlying contract of sale between a Vendor and a Customer, except for Products expressly sold directly by All Meats.

7.2 No agency. No Vendor, Restaurant, Supplier, Farmer, or Delivery Partner is an employee, agent, partner, or legal representative of All Meats. Each operates as an independent business.

7.3 Reliance. Customers acknowledge that they rely on each Vendor's own representations regarding its Products, and that All Meats' role is limited to presenting Vendor-supplied information on the Platform.

8. MARKETPLACE RULES AND LISTING STANDARDS

8.1 Listing accuracy. Vendors are solely responsible for the accuracy of product names, descriptions, cuts, origin claims, pricing, and images. Misrepresentation of a Product (including passing off one cut, species, or grade as another) is grounds for immediate suspension.

8.2 Product images. Images are for illustrative purposes and actual Products may vary in appearance, cut, trim, and presentation. All Meats and Vendors do not guarantee that delivered Products will look identical to listing images.

8.3 Weight variations / weight tolerance. Because meat and produce are natural products, actual delivered weight may vary from the listed weight within a reasonable tolerance (typically ±10%, or as stated on the listing). Where items are priced and invoiced by actual weight at packing, the final invoiced amount shall reflect the actual weight supplied.

8.4 Natural product variation. Customers acknowledge that colour, fat content, marbling, size, and other natural characteristics of meat and produce vary between individual animals, cuts, and seasons, and such variation does not constitute a defect.

8.5 Stock synchronisation disclaimer. While Vendors are required to keep inventory updated, real-time stock levels cannot always be guaranteed across all sales channels. Where a Product becomes unavailable after an Order is placed, All Meats or the Vendor will offer a substitute, delay, or refund for the affected item.

8.6 Marketplace Rules. Vendors must comply with the separate Marketplace Rules (covering listing categories, prohibited content, and merchandising standards) published on the Platform, which are incorporated into these Terms.

9. ORDERING PROCESS AND PRODUCT AVAILABILITY

9.1 Offer and acceptance. An Order is an offer to purchase and is only accepted upon confirmation by the Vendor and/or All Meats. Order confirmation does not guarantee availability until fulfilment begins.

9.2 Multi-vendor orders. Where a single Order includes Products from multiple Vendors, each Vendor's portion is treated as a separate contract of sale, and delivery timing may differ between Vendors.

9.3 Collection orders. Where a Customer selects in-store collection, the Customer must collect the Order within the window communicated at checkout. Perishable Products not collected within a reasonable period may be forfeited without refund, at All Meats' or the Vendor's discretion, and reasonable storage/restocking fees may apply.

10. PRICING, PROMOTIONS AND PRICING ERRORS

10.1 Pricing. Prices are displayed in Kenya Shillings (KES) and may include or exclude VAT/delivery fees as indicated. Vendors set their own retail prices; All Meats may set prices for Products it sells directly.

10.2 Promotional pricing error clause. In the event a promotional price, discount code, or deal is displayed or applied in error (whether due to human error, system error, or third-party integration fault), All Meats reserves the right to cancel the affected Order, correct the price and seek the balance from the Customer, or offer store credit, at its discretion, and shall not be obliged to honour a materially incorrect price.

10.3 AI / automated pricing error clause. Where product pricing, dynamic discounts, or recommendations are generated or adjusted using automated tools or algorithms (including AI-assisted pricing), All Meats does not guarantee such pricing is error-free and reserves the right to correct, void, or cancel any transaction resulting from an automated pricing error, without liability beyond refund of amounts paid for the affected item.

10.4 Promotions. Promotional codes and offers are subject to their own specific terms (validity period, minimum spend, vendor exclusions) and may be withdrawn or modified at any time without notice, save for Orders already confirmed.

11. PAYMENTS, TAXES AND FRAUD PREVENTION

11.1 Payment methods. Payments may be made via M-PESA, Visa, Mastercard, and such other methods as All Meats enables. Payments are processed by third-party payment service providers; All Meats is not liable for delays or failures attributable to such providers, banks, or mobile network operators.

11.2 Taxes. All applicable taxes (including VAT) are the responsibility of the party legally liable under Kenyan tax law — Vendors for their own sales, and All Meats for Products it sells directly or for its commission income. Vendors are responsible for their own KRA obligations.

11.3 Fraud prevention. All Meats may use automated and manual fraud-screening tools and may decline, delay, or reverse any transaction it reasonably suspects to be fraudulent, and may report suspected fraud to relevant authorities and payment networks.

11.4 Payment fraud / chargebacks. Where a Customer initiates a chargeback or payment reversal without a valid basis, All Meats reserves the right to recover the disputed amount, suspend the account, and pursue any available remedy, including recovery of related processing fees.

11.5 AML/KYC for vendors. Where required by applicable law or by All Meats' payment partners, Vendors must complete Know-Your-Customer (KYC) and Anti-Money-Laundering (AML) verification, and All Meats may withhold payouts pending satisfactory verification.

11.6 Credit/trade accounts. Trade credit facilities extended to business Customers are subject to a separate credit agreement; overdue balances may attract interest and collection costs and may result in suspension of further supply.

12. REFUND AND CANCELLATION POLICY

12.1 Cancellation window. Orders may generally be cancelled free of charge before a Vendor begins preparation or packing. Once preparation begins, cancellation is at the Vendor's/All Meats' discretion and may not be refundable given the perishable nature of the Products.

12.2 Complaint window. Quality, freshness, weight, or accuracy complaints must be reported within twenty-four (24) hours of delivery/collection, supported by reasonable evidence (e.g. photographs), failing which the claim may be declined.

12.3 Remedies. Substantiated complaints may, at All Meats' discretion, be resolved by replacement, store credit, partial refund, or full refund.

12.4 Exclusions. No refund applies where the Product was mishandled after delivery, the Customer supplied incorrect delivery details, the complaint is unsubstantiated, or the complaint window has lapsed.

13. DELIVERY TERMS

13.1 Estimated windows. Delivery windows are estimates, not guarantees. Delays caused by traffic, weather, security incidents, or circumstances beyond reasonable control do not constitute breach.

13.2 Delivery radius clause. Delivery is available only within the service radius/zones designated for each Vendor or region on the Platform at the time of Order; All Meats may restrict, expand, or modify delivery zones at its discretion.

13.3 Third-party courier liability limitation. Where deliveries are fulfilled by an independent Delivery Partner or third-party logistics provider, that party is solely responsible for the safe and timely handling of the Order in transit, and All Meats' liability for courier-caused loss or damage is limited to arranging a replacement or refund of the affected item, to the exclusion of consequential loss.

13.4 Risk transfer. Risk in the Products passes to the Customer upon delivery to the specified address or upon collection.

13.5 System / marketplace availability. See clause 26 (Service Availability and System Downtime) for further disclaimers relevant to order placement and delivery scheduling via the Platform.

14. FRESH MEAT, FROZEN PRODUCTS, SEAFOOD AND RESTAURANT ORDERS

14.1 Fresh meat policy. Fresh meat is perishable and must be refrigerated or cooked promptly after delivery. All Meats and Vendors are not responsible for spoilage arising from delayed receipt or improper storage by the Customer after delivery.

14.2 Frozen products. Frozen Products must remain frozen until use; Customers are responsible for not refreezing thawed Products and for following any storage instructions on the packaging.

14.3 Seafood products. Seafood is highly perishable and carries specific allergen risks (shellfish, crustaceans); Customers with relevant allergies must confirm ingredient details with the Vendor before ordering.

14.4 Cold chain disclaimer. All Meats and its logistics partners use commercially reasonable efforts to preserve an appropriate cold chain during transit, but do not guarantee an unbroken cold chain where delivery is delayed by circumstances outside their control, including the Customer's unavailability to receive the Order.

14.5 Restaurant orders. Prepared meals ordered from Restaurant partners are made to that Restaurant's own recipes and standards; All Meats does not prepare, cook, or inspect such meals unless expressly stated.

15. FOOD SAFETY, TRACEABILITY AND COMPLIANCE

15.1 Food safety. Vendors, Restaurants, Suppliers, and Farmers must comply with the Public Health Act, Meat Control Act, KEBS standards, and all applicable county and national food-safety regulations.

15.2 Livestock traceability disclaimer. Where traceability information (e.g. farm of origin, breed, slaughter date) is displayed, it is provided by the relevant Vendor/Farmer/Supplier and is relied upon in good faith by All Meats; All Meats does not independently verify each traceability claim and disclaims liability for inaccuracies in Vendor-supplied traceability data, without prejudice to its right to remove non-compliant listings.

15.3 Halal disclaimer. Where a Product is labelled "Halal", this designation is made by the relevant Vendor based on its own certification and processes. All Meats does not independently certify halal compliance and disclaims liability for incorrect halal labelling by a Vendor, save for its right to remove the Vendor for mislabelling.

15.4 Customer food handling disclaimer. All Meats and Vendors are not liable for illness or harm resulting from a Customer's failure to properly store, handle, thaw, or cook a Product after delivery in accordance with standard food-safety practice.

15.5 Food recall procedures. Where a Vendor, regulator, or All Meats identifies a safety issue requiring recall of a Product, All Meats will use reasonable efforts to notify affected Customers and may suspend related listings; Vendors must cooperate fully, including bearing recall-related costs attributable to their Products.

15.6 Inspection rights. All Meats reserves the right (but not the obligation) to request documentation from, or conduct reasonable inspections of, Vendor premises, licences, and processes as a condition of continued listing, and to suspend any Vendor that refuses reasonable inspection requests or fails to meet required standards.

15.7 Prohibited products. Vendors may not list bushmeat or products from protected/endangered species, uninspected or unlicensed meat, expired or adulterated goods, counterfeit goods, or any product prohibited under Kenyan law.

16. CUSTOMER AND VENDOR RESPONSIBILITIES; QUALITY STANDARDS

16.1 Customer responsibilities. Customers must provide accurate delivery information, be reasonably available to receive perishable Orders, inspect Products promptly, and report issues within the stipulated window.

16.2 Vendor responsibilities. Vendors must ensure accurate listings, lawful sourcing, hygienic preparation and packaging, valid licensing, and timely fulfilment.

16.3 Vendor performance standards. All Meats may set and publish minimum performance standards for Vendors (e.g. acceptance rate, on-time fulfilment, complaint rate, hygiene rating) and may suspend, demote in search ranking, or delist Vendors who fall below such standards.

17. INTELLECTUAL PROPERTY, ANTI-SCRAPING AND API USE

17.1 Ownership. The "All Meats" name, logo, brand assets, platform software, database, and all Content created by or for All Meats are the exclusive property of Alphaxerds Enterprises Limited and are protected under Kenyan and international intellectual property law.

17.2 Limited licence. Users receive a limited, revocable, non-transferable licence to use the Platform for its intended purpose only. No ownership rights are transferred.

17.3 Vendor content licence. Vendors grant All Meats a worldwide, royalty-free licence to use, display, and distribute Vendor-submitted listings, images, and descriptions on the Platform and in All Meats' marketing, including All Meats Media and the Global Meat Academy.

17.4 Anti-scraping clause. Automated extraction, scraping, crawling, or bulk downloading of Platform data (including prices, listings, or reviews) without All Meats' prior written consent is strictly prohibited and may result in immediate suspension and legal action.

17.5 API usage restrictions. Any use of All Meats APIs is subject to a separate API terms of use, rate limits, and authentication requirements; unauthorised or excessive API use may be blocked without notice.

17.6 Prohibition on circumventing the marketplace. Users may not use information obtained through the Platform to solicit or complete transactions directly with a Vendor or Customer outside the Platform in order to avoid applicable fees or protections. All Meats may suspend accounts and pursue recovery of unpaid commission where circumvention is discovered.

17.7 Non-solicitation of vendors. Competitors, prospective competitors, and other marketplace operators may not use the Platform to identify, contact, or solicit Vendors for a competing platform.

18. USER-GENERATED CONTENT AND REVIEWS

18.1 Reviews and other User Content must be truthful, lawful, and submitted by genuine Customers of the relevant Vendor. Fake, incentivised (undisclosed), or defamatory reviews are prohibited and may be removed.

18.2 By submitting User Content, you grant All Meats a perpetual, worldwide, royalty-free licence to use, reproduce, and display it in connection with the Platform and All Meats' marketing. Reviews reflect individual views and are not endorsed by All Meats.

19. MARKETPLACE COMMISSION AND VENDOR FEES

19.1 Vendors pay All Meats commission, listing, and/or subscription fees as set out in the applicable Vendor Agreement or fee schedule, which All Meats may revise on reasonable prior notice.

19.2 All Meats may withhold, offset, or deduct amounts owed by a Vendor (including fees, fines for policy breaches, or chargebacks) from future payouts.

20. DATA PROTECTION, COOKIES AND ELECTRONIC COMMUNICATIONS

20.1 Data protection. All Meats processes personal data in accordance with the Kenya Data Protection Act, 2019 and its Privacy Policy. Where All Meats expands to other jurisdictions, it will comply with applicable local data protection law in that market.

20.2 Cookies. The Platform uses cookies and similar technologies as described in the Cookie Policy; continued use of the Platform constitutes consent to such use, subject to any preferences you set via available cookie controls.

20.3 Communication consent. By registering, you consent to receive transactional communications (order confirmations, delivery updates) via SMS, email, WhatsApp, or push notification, and, unless you opt out, promotional communications.

20.4 Electronic communications and signatures. You agree that electronic communications and electronically executed agreements (including click-to-accept Terms) satisfy any legal requirement for a signature or writing to the fullest extent permitted under the Kenya Information and Communications Act and related law.

21. ACCOUNT SUSPENSION, PLATFORM ABUSE AND CYBERSECURITY

21.1 Suspension. All Meats may suspend or terminate any account, without prior notice, for breach of these Terms, suspected fraud, or risk to the Platform, Users, or Vendors.

21.2 Fraud investigation rights. All Meats may investigate suspected fraudulent or abusive activity, request supporting documentation, and cooperate with law enforcement as necessary.

21.3 Right to suspend transactions. All Meats may pause, hold, or reverse any transaction pending investigation of suspected fraud, error, or policy breach.

21.4 Platform abuse. Harassment of staff, Vendors, or Delivery Partners; submission of false reports; or attempts to manipulate ratings, rankings, or promotions are prohibited.

21.5 Cybersecurity. Users must not attempt to breach, disable, or circumvent the Platform's security features; any vulnerability discovered should be reported responsibly to All Meats before public disclosure.

22. CONFIDENTIALITY

22.1 Vendors, Suppliers, Farmers, and Delivery Partners must keep confidential any non-public information received from All Meats (including pricing algorithms, commission structures, customer data, and business strategy) and must not disclose it to third parties or use it outside the scope of the Platform relationship.

23. EXPORT RESTRICTIONS AND FUTURE INTERNATIONAL OPERATIONS

23.1 Export compliance. Any cross-border movement of Products facilitated via the Platform must comply with Kenyan export law and the import law of the destination country, including veterinary/phytosanitary certification; the responsibility for such compliance rests with the exporting Vendor/Supplier unless All Meats expressly undertakes the export itself.

23.2 International expansion. As All Meats extends operations to other African or international markets, these Terms shall apply as the master framework, supplemented by jurisdiction-specific addenda addressing local consumer protection, tax, and licensing requirements. Where a conflict arises between these master Terms and a local addendum, the local addendum shall prevail solely for operations in that jurisdiction.

24. MARKETPLACE SERVICE AVAILABILITY AND SYSTEM DOWNTIME

24.1 All Meats does not guarantee uninterrupted or error-free availability of the Platform and may suspend access for scheduled or emergency maintenance, upgrades, or circumstances beyond its control.

24.2 All Meats is not liable for any loss arising from an inability to place, track, or fulfil an Order due to system downtime, save that, where an already-confirmed and paid Order cannot be fulfilled due to a Platform outage attributable to All Meats, the Customer shall be entitled to a full refund of that Order.

25. FORCE MAJEURE

25.1 All Meats and its Vendors shall not be liable for delay or failure in performance resulting from causes beyond their reasonable control, including acts of God, natural disaster, disease outbreak or livestock epidemic, government action, civil unrest, power or network outages, or failure of third-party payment, logistics, or telecommunications providers.

26. DISCLAIMER OF WARRANTIES

26.1 THE PLATFORM AND ALL CONTENT AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT, TO THE FULLEST EXTENT PERMITTED BY LAW.

27. LIMITATION OF LIABILITY

27.1 TO THE MAXIMUM EXTENT PERMITTED BY LAW, ALL MEATS, ALPHAXERDS ENTERPRISES LIMITED, AND THEIR DIRECTORS, OFFICERS, EMPLOYEES, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM USE OF THE PLATFORM, ANY ORDER, OR ANY VENDOR PRODUCT.

27.2 Aggregate cap. WHERE LIABILITY CANNOT BE EXCLUDED, ALL MEATS' TOTAL AGGREGATE LIABILITY TO ANY USER SHALL NOT EXCEED THE AMOUNT PAID BY THAT USER FOR THE SPECIFIC ORDER GIVING RISE TO THE CLAIM IN THE SIX (6) MONTHS PRECEDING THE EVENT.

27.3 Vendor and third-party acts. All Meats is not liable for the acts, omissions, or negligence of any Vendor, Delivery Partner, or third-party payment processor, each of whom acts independently.

28. INDEMNIFICATION

28.1 By all users. Each User indemnifies and holds harmless All Meats, Alphaxerds Enterprises Limited, and their directors, officers, and employees against claims, damages, and expenses (including legal fees) arising from that User's breach of these Terms, violation of law, or infringement of third-party rights.

28.2 By vendors. Each Vendor additionally indemnifies All Meats against claims arising from its Products, including illness, injury, contamination, allergic reaction, or death arising from consumption, and from inaccurate listings or non-compliance with food-safety or licensing law.

29. GOVERNING LAW, DISPUTE RESOLUTION AND CLASS ACTION WAIVER

29.1 Governing law. These Terms are governed by the laws of the Republic of Kenya, without prejudice to any mandatory local consumer-protection law applicable in a future international market where All Meats operates.

29.2 Escalation. Disputes should first be raised with All Meats customer support for amicable resolution.

29.3 Arbitration. Disputes not resolved within thirty (30) days shall be referred to and finally resolved by arbitration in Nairobi under the Arbitration Act, 1995 (as amended), by a single arbitrator, with proceedings conducted in English.

29.4 Class action waiver. To the extent permitted by applicable law, disputes shall be resolved on an individual basis only, and Users waive any right to bring or participate in a class, collective, or representative action against All Meats.

29.5 Injunctive relief. All Meats may seek injunctive or equitable relief from the courts of Kenya at any time to protect its intellectual property, confidential information, or to recover unpaid sums.

30. TERMINATION

30.1 All Meats may suspend or terminate any account immediately for breach of these Terms, fraud, or risk to the Platform. Users may close their own account at any time; closure does not affect obligations accrued prior to closure.

31. CHANGES TO THESE TERMS

31.1 All Meats may update these Terms as described in clause 2.4. The current version will always be available on the Platform, with the effective date stated at the top of the document.

32. GENERAL PROVISIONS

32.1 Entire agreement. These Terms, together with the Privacy Policy, applicable role-specific agreements, and Marketplace Rules, constitute the entire agreement between the parties on the subject matter and supersede all prior understandings.

32.2 Severability. If any provision is held invalid or unenforceable, the remaining provisions continue in full force and effect.

32.3 No waiver. Failure to enforce a right or provision does not waive it.

32.4 Assignment. All Meats may assign these Terms without restriction, including in connection with a merger, acquisition, restructuring, or international expansion via a local Affiliate. Users may not assign these Terms without All Meats' prior written consent.

32.5 Relationship of parties. Nothing in these Terms creates an employment, agency, partnership, or joint-venture relationship between All Meats and any User.

32.6 Survival. Clauses relating to intellectual property, confidentiality, indemnification, limitation of liability, dispute resolution, and any other clause which by its nature should survive termination, shall survive.

32.7 Notices. Notices to Users may be given via the Platform, email, or SMS/WhatsApp. Notices to All Meats should be sent to the contact details in clause 33.
